As the Ethics and Governance Specialist, you will be responsible to ensure that the organisation has
strong governance policies and processes in place and improve existing governance framework
based on changing business needs and new laws and regulation. You will also be responsible for
ensuring that the organisation is compliant with all applicable laws and regulations and rules; and all
company policies, codes, and standards; and to implement adequate systems and processes to
monitor and enforce compliance.
ROLE REQUIREMENTS
Assist in the development and implementation of legal and policy compliance management standards and procedures.
Implementing effective systems and processes to ensure compliance with all laws and regulations, policies, rules, and codes and industry standards.
Perform compliance risk assessments and assist in developing compliance risk management strategies.
Provide training and advice on compliance related matters.
Monitor, review and enforce compliance with laws and regulations, policies, rules and codes and industry standards.
Monitor, review and enforce compliance with all Nexio and Vodacom group policies.
Liaise with applicable stakeholders to ensure an integrated approach to legal and policy compliance management; and
Preparation of reports to various audit, risk, and compliance committees
Analyse, internal audit report and provide input into decisions regarding risk mitigation strategies within the company.
Develop policies, minimum standards, templates, guidelines, FAQ’s, and processes regarding Compliance and Governance
Provide ethical guidance to the board, senior management, and staff
Coordinate ethics risks & opportunity assessment
Ensure that the ethics risk profile is converted into an ethics management strategy and plan and promote integrity and ethical behaviour
Ensure alignment and consistent application of ethics related policies, procedures, and practices.
Set up manage an Ethics Committee in compliance with King IV
Actively manage ethics and related conflict of interest within the organization so that this contributes towards an ethical culture
Identify and report on unethical behaviour to the CFO
Develop and implement ethics awareness and other ethics training programs
Coordinate ethics related investigations and promote integrity and ethical behaviour
Enforcement of an effective whistleblowing platform, accessible by staff, suppliers, and contractors
Responsible for all supplier on-boarding and supplier management by conducting investigations related to Sanctions, Fraud, Anti-Money Laundering and Supplier/Enhanced Due Diligence investigation or
verifications.
Responsible for resolution of Red Flags identified.
Responsible for the management of Trade Control (export and import) compliance.
Responsible for escalations and provision of subject matter expert advice on a range of sanctions compliance processes.
Responsible for escalations for potentially illegal activity, global watch list matches, or activity in violation of the economic and trade sanctions administered by OFAC as well as other economic sanctions regimes.
Produce timely and accurate management information to assist decision-making processes within the team and cross-functionally.
Responsible for the management of Company Gift and hospitality and PEP register.
Perform monthly Compliance Audits with respect to processes throughout the business and highlight compliance risks to CFO monthly.
Provide governance report for the Nexio board.

QUALIFICATIONS & EXPERIENCE
Matric or SAQA accredited equivalent qualification (Essential)
Degree in the fields of Law, Risk Management, Business Management and Public Administration or NQF 7 equivalent or studying towards one (Essential)
Certificate in Compliance Management (Advantageous)
Five years of relevant compliance management experience (Essential)
Higher relevant SA law degrees (Advantageous)
Telecommunication or Systems Integrator experience (Advantageous)
