Salary: R2,067,553.00 – R2,584,442 TCTC per annum

Job Purpose:

The Director will provide comprehensive secretariat services and legal advice to the Board of Trustees, ensuring the effective functioning of the Board and its sub-committees. The role includes managing documentation, compliance, and internal governance activities to meet statutory and regulatory requirements.

Minimum Qualification Requirements & Experience:

  • Education:
    • Legal Degree (essential).
    • Master’s Legal Degree (advantageous).
  • Experience:
    • 10 years in senior management, with 5 years in Board secretariat experience at an executive level.
    • Experience working with senior leaders and decision-makers.
    • Company Board Secretary experience is essential.

Key Performance Areas:

  1. Secretariat Support:
    • Provide end-to-end support to the Board and committees, including preparing agendas, organizing meetings, minute-taking, and follow-ups.
  2. Committee Support:
    • Organize committee meetings, maintain attendance records, and manage logistics.
  3. Legal Compliance:
    • Liaise on Board member appointments and changes, manage legal issues with partners, and ensure compliance with governance standards.
  4. Governance Advisory:
    • Inform and advise the Board on compliance, legislation, and governance best practices.
  5. Staff Management:
    • Lead and develop the Governance, Legal, and Board Secretariat team, manage performance, and foster a positive workplace culture.

Required Knowledge, Technical Skills, Competencies, and Attributes:

  • Knowledge of relevant legislation (PFMA, Treasury Regulations, Companies Act).
  • Understanding of corporate governance practices (King II and III).
  • Proficient in MS Office, CRM software, and SharePoint.
  • Strong minute-taking, report writing, and organizational skills.
  • Excellent verbal and written communication skills.
  • Leadership, staff management, and strategic planning abilities.
