Position: Consultant: Board Support (Assistant Company Secretary)

Cape Town CBD | Full Time

Key Details

  • Education: Bachelor’s Degree in Law (LLB)/Paralegal Qualification
  • Experience: 2-5 years in company secretarial role
  • Preferred: CGISA registration, JSE Listing Requirements knowledge

Core Responsibilities

Governance & Compliance

  • Ensure compliance with Companies Act, King IV principles, and regulatory frameworks
  • Manage statutory filings with CIPC and maintain corporate records
  • Oversee share certificate administration and legal compliance

Board Operations

  • Coordinate board/committee meetings including agenda preparation and minute-taking
  • Develop governance documentation (charters, evaluation reports)
  • Facilitate communication between boards, shareholders, and regulators

Client Relations

  • Prepare service proposals and engagement contracts
  • Manage billing processes and stakeholder communications
  • Implement risk mitigation strategies and compliance controls

Essential Competencies

  • Technical: Corporate law expertise, governance protocols, business acumen
  • Operational: Minute-taking proficiency, project coordination skills
  • Behavioral: Analytical thinking, resilience, attention to detail
