Job Opportunity: Assistant Company Secretary II

Position Summary:

Provide expert company secretariat services and governance support to the Board and management. Ensure compliance with statutory requirements (Companies Act, King IV Code, PFMA) while maintaining high ethical standards.

Key Responsibilities:

  • Manage corporate governance frameworks and Board administration
  • Advise Directors on legal responsibilities and governance best practices
  • Coordinate Board/Committee meetings and AGM preparations
  • Monitor implementation of Board decisions and statutory compliance
  • Develop governance training programs for Directors
  • Maintain corporate records and regulatory filings

Essential Requirements:

  • Master’s degree in Law/Finance/Commerce (LLB or legal qualification preferred)
  • 7-8 years’ company secretariat experience
  • Expert knowledge of:
    – Companies Act
    – King IV Corporate Governance
    – Public Finance Management Act
  • Proven experience advising executive teams and boards

Preferred Skills:

  • State-owned entity experience
  • Financial sector background
  • Advanced stakeholder management
  • Strategic reporting capabilities
