Job Purpose

To ensure compliance and good governance for Nedbank Group sub-committees and subsidiary companies. This includes following legal requirements and reducing risks to the bank.

Job Responsibilities

  • Handle full administration for board and senior executive meetings. Focus on creating high-quality minutes that are accurate, on time, professional, and well-written for complex discussions.
  • Help prepare board and committee agendas, matrices, meeting packs, and governance documents to meet legal and governance standards.
  • Assist in drafting or reviewing policies and strategy documents.
  • Support board members, senior executives, and the Group Company Secretary.
  • Offer advice on the Companies Act, King IV, and other laws related to financial services.
  • Check how new and existing laws apply to company secretarial work in the financial sector.
  • Manage applications and reports needed under the Banks Act, Companies Act, JSE listing rules, and other relevant laws.

Essential Qualifications – NQF Level

  • Advanced Diploma / National First Degree

Preferred Qualifications

  • Chartered Institute of Secretaries (CIS)
  • LLB (advantageous)
  • Any other relevant degree with experience in financial services

Preferred Certifications

  • Registration with the Institute of Chartered Secretaries

Minimum Experience Level

  • 6+ years in a senior company secretarial role, legal role, or banking risk role

Technical / Professional Knowledge

  • Very strong written and verbal communication skills
  • Strong time management skills and ability to work under pressure
  • Knowledge of relevant regulations
